About ICDS

CMDA has established the Institute of Corporate Directors and Secretaries (ICDS) with the aim to promote high standards of Corporate Governance among companies in the Maldives, and to develop professional practice of corporate directorship and company secretaries in line with international best practices. The Institute will play a key role in corporate governance reform of existing companies with a view to improving their efficiency and performance, and the well-being of the economy and society in general.

 

The Institute is a focal point for directors and company secretaries and will provide orientation, training and advisory services to its members, as well as undertake research in matters affecting corporate directorship and company secretariat. The training programs, including formal and non-formal courses, will be designed to enhance the levels of knowledge, skills and values demanded by modern corporate governance practices. The Institute will also assist, if called upon, in the formulation and implementation of corporate improvement programs in specific boards where its members are serving. The ICDS will provide relevant and up to date information to its members by way of publications and its website.

Objectives

  1. To promote high standards of corporate governance in Maldives.
  2. Through training and development, to promote excellence, ethics and integrity amongst directors, prospective directors, and company secretaries of all organizations and to improve their skills and knowledge on such matters as their rights, duties and responsibilities and of global best practices in corporate governance.
  3. To promote high standards of business and ethical conduct of directors and company secretaries serving companies, state-owned enterprises and other organizations.
  4. To co-operate with other institutions and organizations having objects similar to those of or that can assist the Maldives Institute of Directors and Secretaries fulfil its objects.
  5. To assess the needs of directors and company secretaries in Maldives, and to improve their skills, knowledge and behaviors by organising conferences, seminars, workshops, training courses and such other networking events for its members.
  6. To hold examinations and to issue, award, revoke and/or replace certificates or diplomas either alone or jointly with other bodies.
  7. To publish, in any manner or medium, material of interest for its members or of relevance to any aspect of its objects and activities.
  8. To provide facilities and services of all kinds to any interested person, including its members, relevant to the company objects and activities.
  9. To promote the study, research and development of the practice of corporate governance and to publish, disseminate or otherwise make available the results of such study or research.
  10. To represent the interests of its members and the business community in public forums.
  11. To affiliate with any other non-profit making organisation or other body, and to co¬operate with other bodies or organizations or to engage in joint activities of any kind that may advance the objects of the Institute.
  12. Generally, to do all such other things as are conducive or incidental to the attainment of the above objects.

What does it COST to be a Member?

Annual fees per membership category are:

The membership year is January – December. Fees will be collected on pro-rata basis.

CODE OF CONDUCT

Members of ICDS are expected at all times to act in such a way so as not to bring themselves or the Institute into disrepute. The Code of Conduct clarifies what the ICDS expects of its members and provides for disciplinary measures to be taken against members whose conduct is unacceptable to the Institute.

  1. Members are required to uphold the Institute's Constitution and comply with its provisions.
  2. Members are required to exercise integrity, honesty, diligence and due care in carrying out their duties and responsibilities, with courtesy and consideration towards others.
  3. Members shall at all times be cognizant of their responsibilities as professional persons towards the wider community.
  4. Members shall at all times safeguard the interests of their employers, colleagues and clients provided that they shall not knowingly be a party to any illegal or unethical activity.
  5. Members shall not act in any way which may be in conflict with the legitimate interests of their employer or client or which would prejudice the performance of their professional duties and shall act with sound judgment and with such reasonable care and skill that can be expected of them.
  6. Members shall refrain from conduct or action, whether in their personal or professional capacity, which detracts from the reputation of the Institute.
  7. In accepting or continuing a professional assignment, a member should always have regard to any factors which might reflect adversely upon his or her integrity and objectivity in relation to that assignment.
